Overview

Future AGI offers a mutual Non-Disclosure Agreement (NDA) to protect confidential information shared during evaluation, sales, and integration processes. The NDA is available to prospective customers, partners, and any party engaged in discussions that involve the exchange of proprietary or sensitive information.

The Future AGI mutual NDA includes the following standard provisions:

Scope of Confidential Information

The NDA covers all confidential information disclosed by either party, including but not limited to:

  • Technical architecture, product roadmaps, and feature specifications
  • Security documentation, audit reports, and compliance artifacts
  • Pricing, commercial terms, and business strategies
  • Customer data, usage patterns, and integration details
  • Any information marked as confidential or that a reasonable person would understand to be confidential

Term and Duration

  • Agreement term: 3 years from the date of execution
  • Post-disclosure protection: Confidential information remains protected for 2 years after disclosure
  • Trade secrets: Protected indefinitely, for as long as the information qualifies as a trade secret under applicable law

Obligations

Both parties agree to:

  • Use confidential information only for the purpose of evaluating or conducting business with the disclosing party
  • Restrict access to confidential information to employees and contractors with a legitimate need to know
  • Apply at least the same degree of care used to protect their own confidential information, but no less than reasonable care
  • Promptly notify the other party of any unauthorized disclosure or use

Exclusions

The NDA does not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is independently developed without reference to the disclosing party’s confidential information
  • Is lawfully obtained from a third party without restriction

How to Request an NDA

To request a mutual NDA:

  1. Email legal@futureagi.com with your organization name, contact details, and the context for the NDA (e.g., product evaluation, partnership discussion, integration project)
  2. Our legal team will review the request and provide the NDA for execution
  3. Standard turnaround is 5 business days
  4. If your organization requires modifications to the standard terms, please include your requested changes or your own NDA template for review

For Enterprise customers with existing Master Service Agreements, confidentiality provisions may already be covered. Contact your account manager to confirm.
